Inspection : Quality and Quantity determined at loading port by the approved
Independent surveyor. All cost and change incur for inspection shall
borne by seller or buyer as per FCO, after the observation of mining pit,
hauling road and stockpile.
Price and Payment :
Option 1:
Bank Guarantee/SBLC for amount equivalent of 1.5 months consignment issued and confirmed by S&P prime 25 Bank. BG maturing after (1) one year and (1) one day. Monthly payment by revolving, assignable, irrevocable, divisible, transferable, confirmed Documentary Letter of Credit (RDLC).
USD XX / MT / FOB BARGE (Payment by L/C at sight).
Option 2:
Bank Guarantee/SBLC for amount equivalent of 1.2 months consignment issued and confirmed by S&P prime 25 Bank. BG maturing after 1 year and 1 day.
USD XX / MT / FOB BARGE (Payment by Cash 40% : 50% : 10%)*
*Remarks : - payment by cash 50% : Stock at Jetty (to pay crushing, Jetty booking, etc)
- payment by cash 40% : whence coal is loaded to barge and finished loading
- payment by cash 10% : upon receipt COA and complete documents.
Minimum Order Quantity:
30,000mt per month on annual contract.
Term of Contract
Minimum 1 (one) year (trial loading for 50,000 MT Ready stocks)
Shipping Vessel Term
Anchorage : Taboneo offshore / Muara Satui offshore
Delivery loading : The first delivery within Fifteen (15) days after
Contract is signed, Seller receiving positive verification, authentication, and validation of the RDLC + BG [Option 1] or Cash Payment + BG [Option 2] .
Loading rate : 8,000 MT / day
Lay can vessel : 30 45 days max
Packing : in bulk
Shipping Instruction : by buyer, accepted by seller.
Procedure and Schedule
1. Seller provides basic information
2. Buyer issues LOI/ICPO + BCL.
3. Seller issues Full Corporate Offer (FCO).
4. Buyer signs and seals the acceptance of the FCO, or sends back with requested amendments to the Seller within validity of the Offer. FCO valid for 5 working days.
5. Hence, seller issues two sets of original contract (signed by seller and send by courier to buyer for return countersigned). One set of contract is for buyers filing purpose, and the other set of contract is to be sent back seller.
6. If payment is done by L/C at sight, buyer should issue a draft LC application and seller would issue a draft performance bond 2% by return.
7. Once LC and Performance bond is completed, then both parties received both the original LC and draft Performance bond at their bank.
8. Prior to mining site visit, we would exchange both buyer and sellers company profile.
9. Seller and buyer go to mining to do site visit.
10. Upon satisfactorily visit is commenced, if payment term is to be done by cash, buyer shall pay seller 50% as for Down Payment and other activities.
Upon finishing the whole term above, buyer could appoint one personnel to be his representative to work hand with seller to do pre-analysis, coordinating
